WhatsApp/Meta Terms Notice
1. Platform Relationship
Convoup is built on Meta's WhatsApp Business Platform APIs. Your use of WhatsApp is subject to Meta's Terms of Service and Business Policies.
2. Not a Meta Partner
Convoup is an independent technology provider and is not owned, sponsored, endorsed, or certified by Meta Platforms, Inc. or WhatsApp LLC.
3. Meta Charges
WhatsApp conversations are charged separately by Meta, based on message category and country. These charges are billed by Meta, not Convoup.
4. Compliance
You are responsible for complying with all WhatsApp requirements, including opt-in requirements, template approval, and content policies.
5. Customer Authorization
The customer may authorize Convoup through Meta's Embedded Signup flow to access and operate the selected WhatsApp Business Account, phone number, and related assets on the customer's behalf. The scope of access depends on the permissions granted by the customer and Meta. The customer controls which assets are connected. Convoup does not acquire ownership of those assets. The customer may disconnect or revoke access through the applicable Meta controls or Convoup workflow.
6. Customer Ownership
As between the parties, the customer retains ownership of its WhatsApp Business Accounts, phone numbers, contacts, message content, templates, and business data. Convoup retains ownership of its software, APIs, documentation, interfaces, workflows, and other underlying technology. Convoup may process service-generated logs, metadata, and aggregated or de-identified information as necessary to provide, secure, maintain, and improve the services, subject to the applicable privacy terms.
7. Customer Responsibilities
You are responsible for obtaining valid opt-in consent and maintaining consent records; using only approved WhatsApp message templates for business-initiated messages; honoring opt-outs and complaints; not sending prohibited or unlawful content; complying with Meta's Business Messaging Policy and applicable law; and keeping your business information accurate.
8. Suspension Rights
Convoup may suspend or limit your access where there is spam, abuse, or excessive block or complaint rates; invalid or missing consent; promotion of prohibited products or services; Meta enforcement action; a security incident; or non-payment. Suspension is proportionate and, where practicable, we will give notice and an opportunity to remedy.
9. Meta Policies
Where Meta's terms, policies, or enforcement actions apply to your use of the WhatsApp Business Platform, those terms take precedence with respect to that use. Nothing in this notice overrides Meta's applicable agreements.
